Terms of Service

By accessing or using BioIntelScan (the “Service”), operated by BioRegenEx Medical Technology (“BioRegenEx”, “we”, “us”, or “our”), you agree to be bound by these Terms of Service (“Terms”). If you do not agree, do not access or use the Service.

These Terms constitute a binding legal agreement between you and BioRegenEx. If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization, and “you” refers to that organization.

You must be at least 18 years old and capable of forming a binding contract to use the Service. The Service is intended for professional use by clinics, physicians, marketing agencies, investors, analysts, and compliance teams operating in the regenerative medicine sector.

Some features of the Service require you to create an account. You agree to provide accurate, current, and complete information and to keep that information up to date. You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account.

You must notify us promptly of any unauthorized use of your account by emailing info@biointelscan.com.

BioIntelScan offers paid subscription tiers (Solo, Practice + Agency, Terminal, and Enterprise). Subscriptions are billed monthly in advance and renew automatically until canceled. All payments are processed by Stripe; we do not store your full payment card details.

You may cancel at any time from your account settings or by contacting us. Cancellation takes effect at the end of the current billing period; we do not provide pro-rata refunds for partial months unless required by law. Pricing and features for each tier are described on our pricing page and may change with reasonable notice.

Founding-member rates, when offered, are locked for the period stated in the offer at signup.

You agree not to: (a) use the Service to violate any law or regulation; (b) attempt to interfere with, compromise, or disrupt the Service or its security; (c) reverse engineer, decompile, or attempt to derive source code; (d) use automated means to scrape, crawl, or extract data beyond the documented API; (e) resell, sublicense, or redistribute the Service or its outputs without our written consent; or (f) use the Service to develop a competing product.

The Service, including all software, content, design, and trademarks, is owned by BioRegenEx or its licensors and is protected by intellectual property laws. The following are trademarks of BioRegenEx Medical Technology: Claim Clearance™, Enforcement Risk Score™, Retroactive Framework Re-Run™, and Counsel Co-Sign™. Patent pending on the BioIntelScan platform and its regulatory intelligence methods, including the Enforcement Risk Score, Four-Prong Scanner, Retroactive Framework Re-Run, and Counsel Co-Sign workflows.

You retain ownership of any content you submit to the Service. By submitting content (such as marketing claims for analysis), you grant BioRegenEx a worldwide, non-exclusive, royalty-free license to process, analyze, and store that content as needed to provide the Service and to improve our models in aggregated, de-identified form.

The Service surfaces publicly available enforcement and regulatory information and produces analytical output, including verdicts, scores, citations, and suggested rewrites. This output is informational only and is not legal advice, medical advice, or a substitute for the professional judgment of qualified counsel or a licensed clinician.

You are solely responsible for any decisions you make based on the output. You should confirm any compliance, marketing, or clinical decision with appropriately licensed professionals. BioRegenEx makes no warranty that the Service’s output is complete, current, or error-free.

The Service relies on third-party providers including Stripe (payments), Supabase (database and authentication), Vercel (hosting), Resend (transactional email), and AI model providers (analytical processing). Your use of the Service is subject to those providers’ terms where applicable.

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WITHOUT LIMITATION WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR ACCURACY OF DATA. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, BIOREGENEX AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AND AFFILIATES WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE.

OUR TOTAL CUMULATIVE LIABILITY FOR ANY CLAIMS RELATED TO THE SERVICE WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED DOLLARS (USD $100).

You agree to indemnify, defend, and hold harmless BioRegenEx and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys’ fees) arising out of or related to your use of the Service, your violation of these Terms, or your violation of any rights of a third party.

We may suspend or terminate your access to the Service at any time, with or without notice, for any conduct that we determine violates these Terms or is otherwise harmful. You may terminate your account at any time by canceling your subscription. Sections that by their nature should survive termination (including IP, disclaimers, limitation of liability, indemnification, and governing law) will survive.

These Terms are governed by the laws of the State of Texas, without regard to its conflict-of-laws principles. Any dispute arising out of or related to these Terms or the Service will be resolved exclusively in the state or federal courts located in Harris County, Texas, and you consent to the personal jurisdiction of those courts.

We may update these Terms from time to time. If we make material changes, we will notify you by email (if you have an account) or by posting a notice on the Service. Your continued use of the Service after the effective date of any change constitutes acceptance of the updated Terms.
